TERMS AND CONDITIONS AGREEMENT

Welcome to AoLiphe, a vacation planning app owned by AoLiphe LLC, a California-based company LLC ("AoLiphe", "we", "us", "our") that allows users to create accounts by connecting to their email calendar and plan trips. By using the AoLiphe app, you agree to be bound by these Terms and Conditions ("Agreement"). By accessing or using the AoLiphe app, you agree to comply with the terms and conditions of this agreement. This agreement represents the entire understanding between you and AoLiphe LLC, and supersedes any other agreements or representations, oral or written, between you and AoLiphe LLC.

1. USER ACCOUNTS

To use AoLiphe, you must create an account by connecting to your email calendar. You agree to provide accurate and complete information about yourself and to promptly update any changes to your account information. You are responsible for maintaining the confidentiality of your account password and for any activity that occurs on your account. AoLiphe LLC reserves the right to suspend or terminate your account if any information provided by you is inaccurate, incomplete or if you violate these terms and conditions.

Use of the AoLiphe App

1.1. Eligibility: You must be at least 18 years of age and have the legal capacity to enter into this Agreement. By using the AoLiphe app, you represent and warrant that you meet these eligibility requirements.

1.2. Account Creation: To use the AoLiphe app, you must create an account by connecting to your email calendar. You are responsible for ensuring the accuracy and completeness of the information you provide during the account creation process.

1.3. Applicable Laws: You agree to comply with all applicable laws, regulations, and rules in connection with your use of the AoLiphe app.

1.4. User Conduct: You agree not to use the AoLiphe app for any unlawful, fraudulent, or inappropriate purposes. You also agree not to use the AoLiphe app to:

(a) harass, abuse, or harm other users or third parties;

(b) upload or transmit any content that is offensive, obscene, or otherwise objectionable;

(d) access or use the AoLiphe app in a manner that exceeds the scope of authorized use;

(e) impersonate any person or entity or misrepresent your affiliation with any person or entity;

(f) use the AoLiphe app to solicit or advertise any products or services without our prior written consent.

1.5. Suspension and Termination: We reserve the right to suspend or terminate your account and access to the AoLiphe app at any time, for any reason, without notice or liability to you.

2. IN-APP PURCHASES AND SUBSCRIPTION PLANS

AoLiphe offers in-app purchases, which may include features, functionality or other products or services. By making an in-app purchase, you agree to pay the listed price and authorize AoLiphe LLC to charge your payment method for the purchase amount. All in-app purchases are final and non-refundable, except as required by applicable law. AoLiphe LLC reserves the right to change the prices for in-app purchases at any time.

AoLiphe offers subscription plans, which may include features, functionality or other products or services. By subscribing to a plan, you agree to pay the listed price and authorize AoLiphe LLC to charge your payment method for the subscription amount. Subscription plans are billed on a recurring basis until cancelled by you. You may cancel your subscription at any time, and your subscription will continue until the end of the current billing cycle. All subscription fees are non-refundable, except as required by applicable law. AoLiphe LLC reserves the right to change the prices for subscription plans at any time.

2.1. In-App Purchases: AoLiphe may offer in-app purchases for certain features or services. By making an in-app purchase, you agree to pay the applicable fees and taxes and authorize us to charge your account for such amounts. All purchases are final and non-refundable.

2.2. Subscription Plans: AoLiphe may offer subscription plans for certain features or services. By subscribing to a plan, you agree to pay the applicable fees and taxes and authorize us to charge your account for such amounts on a recurring basis until you cancel your subscription. You may cancel your subscription at any time by following the instructions in the app.

By using the AoLiphe app, you agree to our Privacy Policy, which is incorporated by reference into this Agreement. Our Privacy Policy explains how we collect, use, and disclose information about you

4. CONTENT AND INTELLECTUAL PROPERTY

AoLiphe may contain content that is owned by AoLiphe LLC or its licensors, including text, graphics, images, software, and other material. You agree not to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from or through AoLiphe, except as expressly permitted by these terms and conditions or applicable law.

AoLiphe LLC respects the intellectual property rights of others, and expects its users to do the same. If you believe that any content on AoLiphe infringes your intellectual property rights, please contact AoLiphe LLC at the contact information provided below.

4.1. Ownership: AoLiphe and its licensors own all right, title, and interest in and to the AoLiphe app and all content and materials made available through the app, including but not limited to text, graphics, logos, images, and software.

4.2. License: Subject to your compliance with this Agreement, AoLiphe grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the AoLiphe app for your personal, non-commercial use.

4.3. Restrictions: You may not copy, modify, distribute, sell, or lease any part of the AoLiphe app or its content and materials, nor may you reverse engineer or attempt to.

5. DISCLAIMERS AND LIMITATIONS OF LIABILITY

AoLiphe is provided on an “as is” and “as available” basis. AoLiphe LLC makes no representations or warranties of any kind, express or implied, as to the operation of AoLiphe, the information, content, materials, or products included on AoLiphe, or the accuracy, reliability, completeness or timeliness of any information provided on AoLiphe. To the full extent permissible by applicable law, AoLiphe LLC disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

5.1. Disclaimer of Warranties: THE AO LIPHE APP IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

5.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, AOLIPHE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE AO LIPHE APP OR THIS AGREEMENT, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF AOLIPHE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5.3. Total Liability: IN NO EVENT SHALL AOLIPHE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE AO LIPHE APP OR THIS AGREEMENT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USING THE AO LIPHE APP DURING THE TWELVE (12) MONTHS PRIOR TO THE DATE THE CLAIM AROSE.

5.4. Basis of the Bargain: YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY IN THIS AGREEMENT ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND AOLIPHE.

These Terms govern your use of the application and its features, including access to local information, weather forecasts, places of interest, restaurant recommendations, direct grocery shopping from DoorDash, booking rides from rideshare apps, property information, and event and tour planning services during your stay. By accessing or using our application, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using the application.

These Terms of Service ("Terms") govern your access to and use of the short-term rental application ("AoLiphe") provided by AoLiphe LLC ("we," "us," or "our"). Application Usage

1.1 a. Eligibility: You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our application.

b. License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application for the purpose of accessing and utilizing the services provided.

c. Availability: We strive to ensure the availability and functionality of the Application; however, we do not guarantee that the Application will be uninterrupted or error-free. We may modify, suspend, or discontinue the Application at any time without notice.

1.2 Account Registration: You may be required to create an account to access certain features of our application. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

1.3 Prohibited Activities: You agree not to use the application for any unlawful or unauthorized purposes. You must comply with all applicable laws, rules, and regulations while using our application.

1.4 Modification or Termination: We reserve the right to modify or terminate the application, in whole or in part, at any time without prior notice. We are not liable to you or any third party for any modification, suspension, or termination of the application.

This information is provided for your convenience, and while we strive to provide accurate and up-to-date information we do not endorse or guarantee the availability, quality, or safety of these places.

2.3 Restaurant Recommendations: AoLiphe provides restaurant recommendations based on user reviews and ratings. However, we do not endorse or guarantee the quality, safety, or availability of these establishments. It is your responsibility to exercise caution and make informed decisions regarding dining options.

2.6 Property Information: The Application presents information about the property you are renting, including amenities, rules, check-in and check-out procedures, and emergency contacts. We strive to ensure the accuracy of this information but cannot guarantee its completeness or correctness. Please verify any specific details with the property owner or manager. Please note that It is your responsibility to read and adhere to this information during your stay.

2.7 Event and Tour Planning: The application offers event and tour planning services to help you make the most of your stay. We may provide information about local events, tours, and attractions. However, we do not organize or control these activities. It is your responsibility to research and make appropriate arrangements. Any bookings or participation in these activities are subject to the terms and conditions of the respective organizers.

3.1 Ownership: Our application, including its content, features, and functionality, is owned by us or our licensors and is protected by intellectual property laws. You may not reproduce, modify, distribute, or exploit any part of the application without our prior written consent.

3.2 User Content: By submitting any content through our application, such as reviews or feedback, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content.

i. Accessing or tampering with the Application's systems or data;

ii. Distributing spam, viruses, or other malicious code;

iii. Engaging in any activity that could disrupt or interfere with the Application's operation or the experience of other users.

e. Rideshare Apps: The Application allows you to book rides from rideshare apps such as Uber and Lyft. We do not endorse or guarantee the availability, safety, or reliability of these services. Any issues or disputes related to rideshare apps should be addressed with the respective service provider.
